CHAPTER 1 · GENERAL
Chapter 1 · General Provisions

Article 1 (Purpose)

These Terms are intended to set out the rights, obligations, and responsibilities of the Company and users, and other necessary matters, in connection with use of the Skillshop (skills.ag; the “Service”) platform operated by Palette Studios Co., Ltd. (주식회사 팔레트스튜디오스; the “Company”).

Article 2 (Definitions)

① The terms used in these Terms are defined as follows.

  1. “Service” means the Skillshop platform and all related ancillary services provided by the Company for use through wired or wireless devices or programs, including PCs, mobile devices, and tablets. It also includes the virtual marketplace where transactions take place between the Company and users or between users.
  2. “Skill” means any digital content product sold by a Creator Member through the Service, including AI agent skills, MCP servers, prompts, automated workflows, and code packages.
  3. “User” means a Member or non-member who uses the Service provided by the Company under these Terms.
  4. “Member” means a customer who agrees to these Terms, registers for membership, creates an account, and uses the Service. Members are divided into the following categories.
    1. Buyer Member: a Member who may browse and purchase Skills from Creator Members.
    2. Creator Member: a Member who additionally agrees to the Seller Operating Policy separately established by the Company and registers Skills they intend to sell, together with related profile information, on the Service.
  5. “Non-member” means a person who is not a Member and wishes to use the Service without registering.
  6. “Content” means any form of material and related information used on an information and communications network, including symbols, text, voice, sound, images, or video.
  7. “Coupon” means a benefit provided under the Company’s policies that allows a Buyer Member to receive a fixed-amount or percentage discount on a Skill.
  8. “Direct Payment” means the exchange of payment directly between a Creator Member and a Buyer Member without going through the Company.

② Terms used in these Terms but not defined in this Article have the meanings assigned in the applicable individual terms, Operating Policies, and general commercial practices.

Article 3 (Presentation, Explanation, and Amendment of the Terms)

① The Company may amend these Terms to the extent the amendment does not violate applicable laws, including the Act on Consumer Protection in Electronic Commerce (「전자상거래 등에서의 소비자보호에 관한 법률」) and the Act on the Regulation of Terms and Conditions (「약관의 규제에 관한 법률」).

② If the Company amends these Terms, it will post the amended Terms in the Service notices beginning 7 days before the effective date. However, if an amendment is unfavorable to Members or material, the Company will notify Members individually by the methods set out in Article 7(1), beginning 30 days before the effective date.

③ If the Company clearly states in a notice or notification under the preceding paragraph that a Member will be deemed to have agreed unless they reject the amended Terms by a specified deadline, and the Member does not reject them by that deadline, the Member will be deemed to have accepted the amended Terms.

④ A User may refuse to agree to amended Terms. If a User does not agree, they may stop using the Service and choose to terminate the service agreement. However, if special circumstances make it impossible to apply the prior Terms, the Company may explain the reason to the Member and terminate that Member’s service agreement.

⑤ Matters not addressed in these Terms or the related Operating Policies, and matters of interpretation, are governed by applicable laws, including the Act on Consumer Protection in Electronic Commerce (「전자상거래 등에서의 소비자보호에 관한 법률」) and the Act on the Regulation of Terms and Conditions (「약관의 규제에 관한 법률」), or by commercial practices.

CHAPTER 2 · MEMBERSHIP
Chapter 2 · Membership and Information Protection

Article 4 (Membership Registration)

① A User who wishes to register as a Member enters the information required by the Company’s registration form and indicates agreement to these Terms, applicable individual terms, and other matters requiring Member consent, such as the personal information collection and use consent form. The service agreement is then formed between the Member and the Company.

② A User may register using a simplified login by linking an account from an external service separately designated by the Company, such as Google, Kakao, or GitHub. The procedure in paragraph 1 applies.

③ A User who completes registration may hold one account per person under their legal name. The Company may request identity verification to prevent misuse.

Article 5 (Restrictions on Membership Registration)

① The Company may restrict membership registration in any of the following cases:

  1. A person attempts to register under the same legal-name information after exceeding the account limit in Article 4(3).
  2. A person under 14 applies to register.
  3. A person who has been restricted from registering by the Company for violating the Service Operating Policies attempts to register again.
  4. The registration would violate applicable laws or these Terms.

② The Company may restrict membership registration and use of the Service in any of the following cases. The Company will post the reason on a page within the Service or notify the User individually under Article 7(1).

  1. There is insufficient capacity in the facilities used to provide the Service.
  2. The Company determines that there is a technical problem affecting provision of the Service.
  3. The Company otherwise determines that a restriction is financially or technically necessary.

Article 6 (Member Obligations for Managing Information)

① If a Member learns that their account information has been stolen or is being used by a third party, the Member must immediately notify the Company and follow any instructions or measures provided by the Company. The Member is responsible for losses resulting from failure to follow those instructions or measures, except where the Company acted intentionally or with gross negligence.

② If information registered with the Company changes, a Member must notify the Company within a reasonable period, including by updating their Member information. The Member is responsible for losses resulting from failure to notify the Company, except where the Company acted intentionally or with gross negligence.

③ Changed information may not be reflected in Member information immediately. The Member acknowledges this and will not hold the Company liable unless the Company acted intentionally or with gross negligence.

Article 7 (Notices to Users)

① Unless these Terms provide otherwise, the Company may notify a User through any notice channel available in the Service, including the email address or (mobile) telephone number provided by the User, text message, push notification, in-Service notice, banner, or Customer Center post.

② For matters that do not materially affect a User’s rights, the Company may substitute a notice on a page within the Service for the notice under paragraph 1.

Article 8 (Personal Information Protection)

① The Company will establish a Privacy Policy and endeavor to protect Users’ personal information in accordance with applicable laws, including the Personal Information Protection Act (「개인정보 보호법」).

② Details concerning personal information protection are governed by the Personal Information Protection Act (「개인정보 보호법」) and the Company’s Privacy Policy.

CHAPTER 3 · SERVICES
Chapter 3 · Use of the Service

Article 9 (Provision and Changes to the Service)

① The Company provides Users with the following services:

  1. Marketplace Service: an online intermediary space where Buyer Members and Creator Members can transact Skills.
  2. Creator Tools: a dashboard and ancillary tools for Creator Members to register, manage, and receive settlement for Skills.
  3. AI-Based Ancillary Services: AI-based features such as Skill recommendations, automated description generation, and search result optimization.
  4. Other accompanying services and services designated by the Company.

② If the Company changes the Service, it will announce the reason using the method in Article 7(2). If the change materially affects Users, the Company will notify them individually using the method in Article 7(1).

Article 10 (Suspension of the Service)

① The Company may suspend all or part of the Service for reasonable grounds, including any of the following:

  1. The Company’s policies related to the Service change.
  2. A change to the Service’s technical specifications is necessary.
  3. Inspection is needed to maintain or repair facilities used for the Service.
  4. Normal use of the Service is impeded by a power outage; failure of facilities, disks, or servers; a system outage; a surge in usage; or similar circumstances.
  5. The Company cannot maintain all or part of the Service due to its circumstances, such as termination of a contract with an affiliate or a government order or regulation.
  6. Other force majeure events occur, such as a natural disaster, epidemic, or national emergency.

② If the Company suspends the Service, it will announce the reason using the method in Article 7(2). If the suspension materially affects Users, the Company will notify them individually using the method in Article 7(1).

③ Notwithstanding the preceding paragraph, if the Company suspends the Service for reasons it could not predict or control, it may announce the suspension afterward.

Article 11 (Obligations of the Company)

① The Company will make its best efforts to provide the Service continuously and reliably as set out in these Terms.

② The Company must maintain a security system to protect Users’ personal information, including credit information, so that Users can use the Service safely.

③ If a User suffers loss because the Company engages in an unfair labeling or advertising practice concerning the Service under Article 3 of the Act on Fair Labeling and Advertising (「표시·광고의 공정화에 관한 법률」), the Company is liable to compensate for that loss.

④ The Company will not send commercial advertising information to Users who do not want it. This applies to all electronic transmission media under Article 2 of the Act on Promotion of Information and Communications Network Utilization and Information Protection (「정보통신망 이용촉진 및 정보보호 등에 관한 법률」), including email, text messages, and KakaoTalk.

⑤ When sending advertising information, the Company will comply with the following:

  1. Advertising information is sent only to Users who have agreed in advance to receive it. Consent to receive it is obtained separately from agreement to the Service Terms.
  2. From 9 p.m. until 8 a.m. the next day, advertising information is sent only with separate consent. This applies to electronic transmission media, including KakaoTalk, but not to email.
  3. An advertisement must display “(Advertisement)” at the beginning of its subject or body and provide the sender’s name and contact information, together with a free way to opt out.
  4. If a User opts out or withdraws consent, the Company will immediately stop sending the information and notify the User of the result within 14 days.
  5. Every 2 years from the date consent to receive advertising information was obtained, the Company will reconfirm whether the User consents. The Company will also provide its name, the fact and date of consent, and how to indicate whether the User wishes to keep or withdraw consent.
  6. A User may withdraw consent to receive advertising information at any time in My Page. Withdrawal does not affect use of the Service.

Article 12 (Obligations of Users and Members)

A User must not do any of the following when using the Service:

  1. Use another person’s information to access or use the Service.
  2. Hack or attack the Company’s systems.
  3. Infringe the intellectual property rights of the Company or a third party, defame them, or interfere with their business.
  4. Make sexually explicit or violent Content public or post it.
  5. Include code that threatens security, such as malicious code, malware, or a backdoor, in a Skill or Content and register or distribute it.
  6. Make a Direct Payment between a Buyer Member and a Creator Member.
  7. Conduct an abnormal transaction by using a discount rate or similar benefit offered by the Company without a genuine intent to purchase the Skill.
  8. Disrupt, or risk disrupting, the Company’s operation of the Service.
  9. Make an abnormal payment using a method prohibited by law, such as obtaining funds under the guise of selling goods or providing services, in violation of laws including the Specialized Credit Finance Business Act (「여신전문금융업법」).
  10. Violate these Terms, any individual terms, the Operating Policies, or applicable law.

Article 13 (Membership Withdrawal (Termination of the Service Agreement) and Restrictions on Use)

① A Member may request to withdraw from membership (terminate the service agreement) at any time, and the Company will process the request immediately.

② Notwithstanding paragraph 1, in any of the following cases, a withdrawal request may be restricted for up to 90 days, to the reasonable extent necessary to resolve the relevant matter. The Company will proceed with withdrawal as soon as the reason for the restriction is resolved.

  1. The Member has an ongoing transaction or a debt to the Company.
  2. An investigative or judicial authority requests an investigation, seizure, or search of the User’s account because the User violated applicable law.
  3. A dispute mediation, lawsuit, or similar proceeding concerning use of the Service is ongoing between the Company and the User, and the User’s account information is needed to resolve the dispute.

③ When a Member withdraws, account information cannot be restored, and any held Coupons automatically expire and are not transferred even if the person registers again.

④ When a Member withdraws, previously written purchase reviews and replies are not automatically deleted. Because the account information is deleted after withdrawal and the author can no longer be verified, the Member must request deletion of posts before applying to withdraw.

⑤ If a User violates obligations under these Terms or the policies, the Company may issue a warning or restrict use of the Service. If the User violates applicable law, the Company may immediately suspend or permanently suspend use, or terminate the service agreement.

⑥ A Member who withdraws under this Article, except a Member whose service agreement was terminated under paragraph 5, may register again under the registration procedure and related provisions of these Terms. However, if a Member withdraws and reapplies for an improper purpose, such as participating more than once in an event that limits duplicate participation, the Company may restrict re-registration for up to 1 year.

⑦ The Company may terminate the service agreement of a Member who has not logged in during the past 5 years.

⑧ If the Company terminates a service agreement under paragraph 5 or 7 of this Article, it may individually notify the Member under Article 7(1), cancel sales related to that Member, and settle any remaining receivables and payables.

⑨ A User who wishes to appeal a restriction imposed under this Article may contact the Company’s Customer Center. If the User’s explanation is reasonable, the Company may decide not to take the measure under this Article.

⑩ After termination of the service agreement, the Company is not liable for disputes arising from transactions conducted by that Member, except where the Company acted intentionally or with gross negligence.

Article 14 (Copyright and Other Rights in Content)

① All copyrights and other intellectual property rights in Content created by the Company belong to the Company.

② A User who wishes to use Content posted on the Service must first obtain consent from the Company or another Member who holds the rights to that Content.

③ If the Company provides a service that allows Users to post Content, copyright in Content posted by a User on the Service belongs to that User. A User must post Content that does not infringe another person’s rights.

④ Copyright and related rights in a Skill registered by a Creator Member belong to that Creator Member. A Buyer Member may use the Skill within the license scope separately established by the Company.

Article 14-2 (Skill Execution and Performance Comparison)

① The Company operates Arena (performance comparison) to improve Service quality and help Users make purchase decisions. Arena runs a task submitted by a User with multiple Skills and AI models, then compares and evaluates the resulting outputs.

② A Creator Member may consent to or refuse execution of their registered Skill in Arena. A Skill is included in Arena only if the Creator Member consents. Consent may be withdrawn at any time, and the Skill will be excluded from new executions from the time of withdrawal.

③ Consent under paragraph 2 is limited to what is necessary to run Arena (viewing, copying, and executing the Skill’s contents and generating its outputs). It does not give the Company copyright in the Skill or the right to resell or redistribute it to a third party. Rights in the Skill remain with the Creator Member under Article 14(4).

④ Outputs and evaluation records (such as rankings and scores) generated through Arena may be made public within the Service. The Company will also indicate which version of a Skill the records measured.

⑤ If a Creator Member updates a Skill, existing evaluation records remain, and the Company will indicate that they concern a version before the update. The Company may remeasure or make those records private at the Creator Member’s request or at the Company’s discretion.

⑥ When Arena runs, the User’s input and the Skill’s contents are sent to an overseas AI model provider to the extent necessary for execution. The recipient, country, items, purpose, and retention period are described in the Privacy Policy.

Article 14-3 (Use and Provision of Arena Evaluation Data)

① In this Article, “Evaluation Data” means the following records generated when a User uses Arena:

  1. Tasks and instructions submitted by the User to Arena.
  2. The judgment of which output the User selected and identifiers of the Skills and AI models compared.
  3. Reasons for the judgment and evaluation comments optionally entered by the User.
  4. Usage records generated during comparison, such as the order and time in which outputs were shown and the time spent waiting for a response.
  5. Evaluator’s job, area of expertise, and language information optionally provided by the User.

② A User grants the Company a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, modify, edit, translate, pseudonymize, statistically process (aggregate), and provide Evaluation Data to third parties for the purposes in each item of paragraph 3. This license includes provision to AI research and development institutions located outside Korea.

③ The purposes in paragraph 2 are as follows:

  1. Evaluate the performance and compare the quality of AI Skills and AI models.
  2. Compile statistics and conduct scientific research (including industrial research).
  3. Train AI Skills and AI models.
  4. Improve the Service and develop new services.

④ Within the scope of paragraph 2, the Company may provide Evaluation Data to third parties for a fee in pseudonymized or statistically aggregated form. The Company will not provide Evaluation Data for a fee in a form that identifies a specific individual.

⑤ A User may withdraw the part of the license under paragraph 2 that concerns provision to third parties at any time. If the User requests this by the method in Article 5-2(8) of the Privacy Policy, the Company will promptly exclude that User’s Evaluation Data from future provision. Withdrawal does not restrict use of the Service, including Arena. Data already provided before withdrawal will be recalled to the extent provided for in the agreement with the recipient.

⑥ Because Evaluation Data may be provided to third parties under paragraph 2, a User must not include in tasks, instructions, or reasons for judgment submitted to Arena any content they do not want disclosed or any of the following:

  1. Personal information about the User or another person, including unique identification information such as resident registration or passport numbers; financial information such as bank account or card numbers; and health information.
  2. Another person’s trade secrets or materials subject to a confidentiality obligation.
  3. Materials that infringe a third party’s rights, including copyright or portrait rights.

⑦ As between the Company and the User, the User retains their rights in Evaluation Data. The license in paragraph 2 does not transfer to the Company copyright or other rights in Content uploaded to the Service by the User, such as Skill files. Rights in Skills remain with Creator Members under Article 14(4) and Article 14-2(3).

⑧ If Evaluation Data contains personal information, its processing is governed by the Personal Information Protection Act (「개인정보 보호법」) and the Company’s Privacy Policy. Article 5-2 of the Privacy Policy describes the pseudonymization method, recipients, overseas transfers, retention and use period, how and through what procedure to refuse an overseas transfer, and the effect of refusal.

Article 15 (Use and Management of Content)

① Content created or posted by a User while using the Company’s Service may be quoted or displayed in internet search results, including on portal sites, or in Service promotions or news content. A User also permits third parties with a contractual relationship with the Company for providing the Service or advertisements to copy, communicate to the public, transmit, distribute, rent, and post the User’s Content, solely for the purpose of providing the Service and advertisements.

② If the Company must modify, edit, or delete part of a User’s Content to perform the work in paragraph 1, it will notify the User in advance and obtain the User’s consent.

③ A User may delete Content they provided, or request that the Company delete it, at any time through the Service settings or Customer Center.

④ If a User’s Content includes material that violates the law, a rights holder may request suspension of its posting or deletion through the procedures provided by applicable law, and the Company may take action under that law. If a dispute arises as a result, the User must resolve it at their own responsibility and expense and hold the Company harmless.

⑤ Even without a request from a rights holder, the Company may delete or take temporary measures regarding Content for any of the following reasons. Before taking action, the Company will notify the User who posted the Content of the reason and how to object. However, if applicable law provides otherwise or urgency makes advance notice impossible, the Company will notify the User promptly after taking action.

  1. A direct risk is identified in connection with a violation of the Terms of Service, Operating Policies, or law, or with criminal conduct.
  2. There are grounds to find that the Content infringes the rights of the Company or a third party, such as defamation or invasion of privacy prohibited by law.
  3. False identity information was entered for an account or post, or false information about a sale or purchase was registered.
  4. A Skill is found to contain a security threat, such as malicious code or malware.

Article 16 (Coupons)

① When a Buyer Member purchases a Skill through the Service, the Company may grant a Coupon that provides a fixed-amount or percentage discount.

② A Coupon’s expiration date and conditions of use vary according to how it is issued. Only one Coupon may be applied per order.

③ If a transaction is canceled, a used Coupon is returned unless its expiration date has passed at that time.

④ A Coupon cannot be converted to cash or refunded. It expires without restoration when its validity period ends or the service agreement is terminated.

⑤ Before a Coupon expires, the Company will individually notify the Buyer Member of its expected expiration date and how to use it, using a method under Article 7(1).

⑥ If a Buyer Member engages in any of the following conduct, the Company may impose sanctions, such as recovering a Coupon, restricting its use, or canceling a purchase request made with it:

  1. The Member sells or transfers a Coupon to another person, or engages in conduct that is effectively equivalent to a sale or transfer.
  2. The Member obtains a Coupon improperly or fraudulently, or uses it for an improper or fraudulent purpose.

⑦ Details concerning the grant and use of Coupons are governed by the Company’s policies.

CHAPTER 4 · TRANSACTIONS
Chapter 4 · Transactions

Article 17 (Use of the Mail-Order Brokerage Service)

① As a mail-order broker, the Company operates, manages, and provides a system that intermediates transactions between Buyer Members and Creator Members. It does not represent either party to a transaction.

② Before purchasing a Skill, a Buyer Member must clearly review the Content registered by the Creator Member, the Skill’s details, and the transaction conditions.

③ Even if the Company posts Skill-related information received from Creator Members or others to improve convenience, or provides reference product information through the site from a third party, a Buyer Member must decide whether to purchase a Skill using their own judgment and responsibility. The Company is not responsible for the reliability or accuracy of that information, material, or fact unless it acted intentionally or with gross negligence.

Article 18 (Skill Purchase Procedure)

① A Buyer Member may pay using the [Purchase] function on a Skill detail page or another payment request method provided by the Company.

② A Buyer Member may pay for a purchased Skill using a method provided by the Company, such as a credit card or simplified payment. The amount actually paid is the amount after applying the supply price set by the Company or Creator Member, any discount Coupon applied to the product, selected options, and the Service fee.

③ A Buyer Member must use a payment method in their own name when purchasing a Skill and must not use another person’s payment method without authorization. The Buyer Member is responsible for problems arising from a violation, unless the Company acted intentionally or negligently.

④ When a Buyer Member pays, the Company may verify that the Member is authorized to use the payment method and may suspend or cancel the transaction until verification is complete.

⑤ A Buyer Member is responsible for all information they enter in connection with payment and any problems arising from that information, except where the Company acted intentionally or with gross negligence.

⑥ A Skill purchase contract is formed when a Buyer Member, in response to the sale conditions presented by the Creator Member, expresses an offer by paying and the Creator Member expresses acceptance.

Article 19 (Payment Escrow Service)

① For prepaid mail-order transactions, the Company holds the payment made by a Buyer Member and pays it to the Creator Member after delivery of the Skill is complete. If the Buyer Member indicates an intention to cancel, return, exchange, or seek a refund before the Company pays the Creator Member, the Company withholds payment to support the Buyer Member’s safe use of the Service.

② In providing the Payment Escrow Service, the Company does not represent a Buyer Member or Creator Member, nor does it perform either Member’s obligations in connection with a Skill transaction.

③ A Buyer Member bears any remittance fees, interest, and similar charges arising when paying through the Payment Escrow Service and may not claim reimbursement from the Company for those charges.

④ The Payment Escrow Service ends when the purchase is confirmed as provided in Article 20.

⑤ If a transaction is canceled, returned, or refunded after the Company has paid the settlement amount to the Creator Member, the Company may deduct the corresponding amount from later settlements. If there is no settlement amount to deduct or it is insufficient, the Company may request repayment of the difference, and the Creator Member must repay it by the deadline set by the Company.

⑥ A deduction under paragraph 5 applies only to a canceled, returned, or refunded transaction and may not exceed the amount attributable to the Creator Member in that transaction. The Company will notify the Creator Member of the reason and amount before making the deduction.

Article 20 (Purchase Confirmation)

① If a Buyer Member receives a Skill (by completing a download or receiving a license), the Buyer Member must confirm the purchase using a function provided by the Company within 7 days of receipt.

② If the Company does not receive purchase confirmation or notice of another reason not to confirm within the period above, it may automatically confirm the purchase 7 days after shipment. After confirmation, a refund of the payment cannot be requested. The Company will notify the Member of the planned automatic confirmation at least 3 days beforehand and will not automatically confirm if the Buyer Member objects for a valid reason, such as non-receipt of the Skill.

③ If a Creator Member sends work through a channel other than the Company’s Service and the Buyer Member does not receive it, the Company is not responsible unless it acted intentionally or negligently.

Article 21 (Withdrawal of an Offer, etc.)

① A Buyer Member who has entered into a Skill purchase contract with a Creator Member may withdraw from the contract under Article 17(1) of the Act on Consumer Protection in Electronic Commerce (「전자상거래 등에서의 소비자보호에 관한 법률」) and as stated by the Creator Member on the Service detail page.

② If the Company receives a Buyer Member’s notice of withdrawal, it will immediately notify the Creator Member.

③ Under Article 17(2) of that Act, a Creator Member may refuse a Buyer Member’s request in any of the following cases:

  1. The goods or similar item have been lost or damaged due to the Buyer Member’s responsibility (excluding damage to packaging necessary to inspect the contents).
  2. The value of the goods or similar item has significantly decreased because the Buyer Member used or partially consumed them.
  3. The value of the goods or similar item has significantly decreased over time to the point that resale is difficult.
  4. Packaging for goods or a similar item that can be copied has been damaged.
  5. Provision has begun for a service or digital content under Article 2(5) of the Framework Act on the Promotion of Cultural Industries (「문화산업진흥 기본법」). For a contract comprising separable services or digital content, this does not apply to any portion for which provision has not begun.
  6. For goods or similar items individually produced to order, withdrawal would be expected to cause substantial irreparable harm to the Creator Member, and the Creator Member separately disclosed this for the transaction in advance and obtained the Member’s written consent (including electronic documents).

④ In the cases under paragraph 3(2) through (5), a Buyer Member’s right of withdrawal is not restricted if the Creator Member, directly or through the Company, did not take steps in advance to make the restriction easy to notice, such as clearly stating it or providing a trial product.

⑤ Notwithstanding paragraphs 1 and 2, if a Skill differs from its description or advertising, or was provided contrary to the contract, a Buyer Member may withdraw within 3 months after receiving the Skill and within 30 days after learning, or being able to learn, of the discrepancy.

⑥ If a Creator Member fails to complete delivery within a reasonable period after receiving notice that a Buyer Member’s payment is complete, and the Buyer Member requests withdrawal, or if the case falls within a withdrawal situation pre-established by an individual Operating Policy, the Company may cancel the transaction and refund the payment to the Buyer Member.

⑦ A Buyer Member may request a refund using a method designated by the Company within 7 days of payment. The Company will review the request and notify the Member whether it will be processed and the result. The request may be denied if any case in paragraph 3 applies.

⑧ A refund request under the preceding paragraph may not be made after the transaction amount has been settled and paid to the Creator Member under Article 19. However, the Company may contact and provide separate guidance to facilitate coordination between the Buyer Member and Creator Member.

Article 22 (Effects of Withdrawal, etc.)

① If a Buyer Member withdraws under the preceding Article, the Buyer Member must return all Skills received and delete any downloaded copies.

② The party responsible for a return or exchange bears the associated costs. For a return or exchange due to a Buyer Member’s change of mind, the Buyer Member bears those costs.

③ Once withdrawal between the parties is confirmed, the Company will refund the amount paid for the Skill to the Buyer Member within 3 business days. If the Company delays the refund, it will pay delay interest calculated by applying the rate prescribed in the Enforcement Decree of the Act on Consumer Protection in Electronic Commerce (「전자상거래 등에서의 소비자보호에 관한 법률 시행령」) for the delay period. The Company is not responsible for a delay caused by external circumstances, such as a financial institution’s system error or outage, not attributable to the Company.

④ When refunding the amount above, if the Member paid for the Skill using a credit card or other payment method, the Company will promptly request the provider of that payment method to stop or cancel the charge.

⑤ Notwithstanding paragraph 4, if the Company cannot refund through the payment method used by the Member, it may take other measures necessary to issue the refund.

Article 22-2 (Refund Policy)

① Provision of a Skill is deemed to begin when a Buyer Member completes payment and receives the Skill (by download, issuance of an installation command, or issuance of a license), except in the cases under Article 21(5) and (6). After that point, cancellation, return, exchange, or refund is unavailable for any reason.

② A Skill is digital content that can be copied. Under Article 17(2)(5) of the Act on Consumer Protection in Electronic Commerce (「전자상거래 등에서의 소비자보호에 관한 법률」), withdrawal is restricted once provision has begun. Under Article 17(6) of that Act and Article 21 of its Enforcement Decree, the Company and Creator Members display the restriction clearly on pre-purchase screens, such as the payment screen, provide information about the Skill—including its contents, required environment, and license scope—on the Skill detail page, and provide a free light version as a trial when one is available.

③ Refund requests based on a Buyer Member’s circumstances, including the following, will not be accepted:

  1. A change of mind.
  2. An accidental or duplicate purchase.
  3. The Buyer Member has not used the purchased Skill or has not learned how to use it.
  4. The Buyer Member’s environment (such as its operating system, AI tool type or version, or external service plan) does not meet the Skill’s requirements.
  5. The Skill’s contents differ from the Buyer Member’s subjective expectations.

④ Before purchasing, a Buyer Member must check the information on the Skill detail page, required environment, license scope, and transaction conditions. The Buyer Member is responsible for consequences resulting from failure to check them.

Article 23 (Responsibilities as a Mail-Order Seller)

If the Company sells a Skill directly, it is a party to the mail-order transaction and is deemed to be the Creator Member under Article 18; Article 20(1) and (2); Article 21(1) and (3) through (5); and Article 22, and bears the responsibilities under these Terms.

CHAPTER 5 · MISCELLANEOUS
Chapter 5 · Miscellaneous

Article 24 (AI-Based Ancillary Services)

In providing AI-based ancillary services, the Company may use User data to train and improve AI. Personal information processed in that process is governed by the Personal Information Protection Act (「개인정보 보호법」) and the Company’s Privacy Policy.

Article 25 (Relationship Between Linked Services)

These Terms and the Company’s Privacy Policy do not apply to linked services outside the Company’s official site. Users must review the terms and privacy policy of each linked service concerning use of that service and Skill purchases. Users are responsible for consequences of failing to do so, and the Company is not liable for them unless it acted intentionally or with gross negligence.

Article 26 (Terms for Individual Services)

① If the Company provides a separate service or determines that terms and policies are needed within an existing service, it may establish them. They may appear as notices on individual service pages and constitute “terms and policies” under this Article regardless of their form or name.

② If the Company establishes individual terms and policies under the preceding paragraph, it will obtain the User’s agreement the first time the User uses the relevant service or present them so the User can review them sufficiently. Those terms and policies take precedence over these Terms.

③ Individual terms include, but are not limited to, the Seller Operating Policy and Review Operating Policy.

Article 27 (Limitation of Liability)

① The Company intermediates transactions between Buyer Members and Creator Members by advertising Creator Members’ Skills. In this case, the Company is not a party to the mail-order transaction and is not responsible for related disputes, including disputes about quality or defects.

② The Company is not responsible for interruptions in use of the Service caused by a User or for resulting losses to the User.

③ The Company is not responsible for providing the Service when it cannot do so due to war, civil unrest, natural disaster, emergency, a technical defect that cannot be resolved with current technology, or another force majeure event.

④ Notwithstanding paragraphs 1 through 3, the Company is responsible for interruptions or losses caused by its intentional conduct or gross negligence.

Article 28 (Dispute Resolution)

① If a dispute arises while using the Service, Members must act in good faith to resolve it.

② If one or both parties notify the Company of a dispute between Members, the Company may intervene under applicable law to facilitate resolution or, after notifying the parties in advance, take any measure it considers necessary, such as suspending a transaction, withholding settlement or refund of the transaction amount, restricting use of the Service, or reviewing transaction history.

③ If the Company determines that a dispute cannot be resolved through agreement between the parties or the Company’s intervention, it may refer the dispute to an external body, including the following, or guide the parties in applying for referral, and may provide related information:

  1. Korea Fair Trade Mediation Agency (한국공정거래조정원).
  2. Korea Consumer Agency (한국소비자원).
  3. Korea Internet & Security Agency Electronic Document and Electronic Transaction Dispute Mediation Committee (한국인터넷진흥원 전자문서·전자거래분쟁조정위원회).
  4. Korea Creative Content Agency Content Dispute Mediation Committee (한국콘텐츠진흥원 콘텐츠분쟁조정위원회).

Article 29 (Governing Law and Jurisdiction)

① These Terms are governed by the laws of the Republic of Korea.

② If a dispute arises with a User, the Company will consult in good faith to resolve it. If the dispute remains unresolved, a lawsuit concerning it must be brought in the court with jurisdiction under the Civil Procedure Act (「민사소송법」).
